Charles A. Bryan co-founded the firm in 1991. He specializes in and manages Bengur Bryan’s investment banking services in mergers and acquisitions and private placements for companies in the consumer, transportation and business services industries, and related e-commerce businesses. Mr. Bryan has advised clients ranging from a multi-billion dollar transportation company, Yellow Corporation; and industry consolidators like Railworks, Inc.; to early stage e-business services companies. Mr. Bryan has over 20 years of investment banking experience with emerging growth companies and with companies undergoing change. Prior to forming Bengur Bryan, Mr. Bryan was an industry group head in the Investment Banking Division at Alex. Brown & Sons (now Deutsche Banc Alex. Brown), which provides investment banking services to emerging growth companies. His activities included the coordination and execution of public and private equity offerings, private placements, mergers and acquisitions, and financial restructurings.

Mr. Bryan is also a General Partner of Patriot Capital, L.P., the merchant banking affiliate of Bengur Bryan & Co., Inc.

Mr. Bryan is a member of the Washington Baltimore Chapter of the Young President’s Organization, serves as a director of PJPA, LLC, a Papa John’s Franchisee in Pennsylvania; and is on the Board of Directors of Accuship.com, Inc., a logistics information services company.

Mr. Bryan previously worked in the Private Business Advisory Services Group in the New York office of KPMG Peat Marwick. A certified public accountant, he holds a B.S. degree from the University of North Carolina at Chapel Hill, where he was a Morehead Scholar, and an MBA from Harvard University.

Chris M. Royston, managing director, has over 20 years of investment banking experience in the area of mergers and acquisitions and private placements. He specializes in manufacturing and distribution, business services and health care companies. Mr. Royston manages the private equity and debt placement efforts of the firm. During his career, he has placed over $3 billion of debt and equity securities. Prior to joining Bengur Bryan, Mr. Royston was a managing director of the Signet Investment Banking Company, where he was responsible for private placements, corporate financings, real estate financings, and mergers and acquisitions. Prior to Signet, Mr. Royston was co-founder and a managing director of the Investment Banking Division of Maryland National Bank (MNC), where he was not only responsible for all corporate and real estate private placements, but also coordinated financing activities with the Mergers and Acquisitions Department to provide a full range of financial services. Previously, Mr. Royston was a vice president in the Private Placement Group of Salomon Brothers Inc.

Mr. Royston is also a General Partner of Patriot Capital, L.P., the merchant banking affiliate of Bengur Bryan & Co., Inc.

Mr. Royston has also served as a board member of local government economic development organizations.

Mr. Royston earned a B.A. degree in economics from the College of William and Mary and an MBA from Columbia University.

John Heron Prior to joining Bengur Bryan, John served as Managing Director in FBR’s Consumer Investment Banking Division. Prior to this, he served as the Managing Partner of Heron & Company, a private investment company focused on control investments in emerging lifestyle consumer business.

John’s extensive entrepreneurial consumer experience includes retail, apparel, fitness, distribution, publishing, direct marketing, food and beverage. His considerable vision in consumer products and marketing led to the formation of the Balance Bar Company, which after becoming a public company was ultimately purchased by Kraft.

Prior to Heron & Company, John served in various executive capacities, including 10 years leading dramatic growth as Executive Vice President of Barton Cotton, a publishing and national direct marketing firm.

John graduated from the University of North Carolina with a B.A. in Political Science.

Charles McCusker, partner, has extensive operating, private equity investment, and investment banking experience. Mr. McCusker was one of three general partners of the ServiceMaster Venture Fund, a highly successful portfolio of focused private equity investments in consumer services, for-profit education, technology and application software and e-commerce. He also founded and held several operating executive positions, including President and Chief Operating Officer, of a high growth joint venture between The ServiceMaster Company (SVM) and Kleiner Perkins. The division grew from a concept in 2000 to over $50 million in profitable revenue in 2003.

Mr. McCusker is also a General Partner of Patriot Mangement Company, the merchant banking affiliate of Bengur Bryan & Co., Inc.

He currently serves on the Board of Directors of MRC Group, Remet, and Dedicated Transport, serves as a Board representative on Option 1, ARGI, Home Solutions of America (HOM), and D&S Residential, and has served as a board representative for DigitalThink (DTHK) and Intellinex.

Mr. McCusker holds a B.S. degree in Engineering from Virginia Tech and an MBA from the University of Chicago.

Sam A. Woodward's focus is DC Metro based middle market companies, utilizing his experience with IT based business processes and service companies, the freight, airline and aircraft related industry, and turnarounds/work-outs. Sam’s background is in special situations with large and small companies needing strategic re-alignment or partnering, raising difficult capital, and transforming the core business. Sam’s advisory and management experiences include:

Service and IT based: Perot Systems, Platinum Technologies, freightQuote, SCF Inc, myFreightWorld, Consolidated Freightways (subsidiary sales channel unit).

Re-structuring: Hawaiian Airlines, Gemini Air Cargo, America West, Pan American World Airways, Eastern Air Lines, Air South, several start-up carriers, AIG/ILFC, GECAS, Potomac Capital Investment Corp., and Performance Transportation Services.

Strategic: Cerberus Capital Management, The Carlyle Group, Yucaipa Companies, GE Capital Aircraft Services, Pacer International, AIG, HSBC Group Holdings, Potomac Capital Investment Corp., and a mix of middle market and start-up companies.

Sam has served as executive management with Fortune 500, NYSE and middle market companies; Yellow Corp (now YRCWorldwide), leading operations and strategy: share price rose from $8 to $35 during his tenure, Purolator Courier; he co-led a management buy-out and share price rose from $16 to $33 a share during his tenure, owner-operator of Pilot Freight, and Chairman of international airline Gemini Air Cargo.

Sam has served as a fiduciary and advisory member of both public and private boards: Gemini Air Cargo Inc., Terminal Trucking Co., National Air Carrier Association, National Defense Transportation Association, Performance Transportation Services Co., Hawaiian Air Lines Inc., Air South Co., Circle Express Inc., Pilot Freight Co., various YRCWorldwide/Yellow Corp. subsidiaries, manufacturing companies SCF Inc., and Labconco LLC, Perot Systems Inc., Platinum Technologies Inc. and Octel/Lucent Co. He has been a commentator for CNBC. Mr. Woodward holds a BA and PhD (ABD) from the University of South Carolina where he received academic awards from the Ford Foundation, Veteran Administration, University of South Carolina, Columbia University and the University of Maryland.

Osman Bengur co-founded the firm with Charles Bryan and serves as a Senior Advisor. He specializes in mergers and acquisitions for companies in the retail, business services and manufacturing industries. Mr. Bengur has in excess of 25 years experience as an investment banker with Bengur Bryan and previously with Alex. Brown & Sons Incorporated. During his career, he has been involved in a wide range of investment banking activities from public offerings of equity and debt to private placements and merger and acquisition advice.

Mr. Bengur also serves as Chairman of PJPA, LLC, a Papa John's Pizza franchisee, which he co-founded with Charles Bryan. PJPA owns and operates 50 Papa John's Pizza stores in Delaware, Pennsylvania, and New Jersey.

Mr. Bengur holds an A.B. Degree from Princeton University and a graduate diploma from The University of Cambridge, England.
